HSA Bank is now a division of Santander Bank, N.A.
As of Aug. 20, 2026, Webster Bank was acquired and is now a division of Santander Bank, N.A. This acquisition brings together two strong organizations with shared values and a commitment to the colleagues and clients we serve. Prior to this transaction, HSA Bank was a division of Webster Bank, N.A.
Understanding the merger
Santander is well-known in the U.S. banking industry having established a presence here in 1968. It’s one of the largest banks globally, with more than 150 years of experience helping people and businesses prosper.
Santander’s business includes Retail and Commercial, Digital Consumer Banking, Corporate and Investment Banking, Payments and Wealth Management – Webster’s complementary U.S. presence and product offerings will further expand and strengthen their U.S. business.
While Santander’s global headquarters are located in Spain, Santander Bank, N.A. is a U.S. based entity.
With its corporate offices in Boston, Santander Bank, N.A. has more than 2 million customers primarily located in Massachusetts, New Hampshire, Connecticut, Rhode Island, New York, New Jersey, Pennsylvania and Delaware.
Chad Wilkins, Head of HSA Bank, will continue to lead HSA Bank under Santander Bank as the Head of Healthcare Financial Services, which includes HSA Bank, SecureSave and Ametros.
All of Webster’s business lines will be integrated into Santander Bank, N.A., with Chief Executive Officer John Ciulla continuing as CEO leading Webster’s operations out of the existing offices in Stamford.
Webster President and Chief Operating Officer Luis Massiani will be COO of both Santander Bank, N.A. and Santander Holdings USA.
No. The HSA Bank brand and name will remain.
Our legal name will reflect that we are now a division of Santander Bank, N.A. instead of Webster Bank, N.A: HSA Bank is a division of Santander Bank, N.A.
Day-to-day impact for partners and clients
No. There will be no changes to accounts, services or day-to-day operations once the transaction is complete. Members can continue using their benefit accounts as usual.
When members access their online account, they may need to accept new terms and conditions reflecting the new ownership structure.
If there are future changes, we’ll communicate with you and HSA Bank members in advance.
There will be no changes to how we work with you and support your benefit program.
Your agreement was assigned to HSA Bank, a division of Santander Bank, N.A., rather than Webster Bank, N.A. All contractual commitments in the agreement remain unchanged and services will continue without interruption. No material changes were made to the agreement.
There’s only an action if your company has benefit documents that reference “HSA Bank, a division of Webster Bank, N.A.” That wording will need to be updated to “HSA Bank, a division of Santander Bank, N.A.”
If your materials use the HSA Bank logo that includes “a division of Webster Bank, N.A.” please replace it with the updated logo. Download logo.
This change should occur between Aug. 20, 2026, and Aug. 20, 2027. We encourage early completion to accurately reflect the ownership structure of the bank.
All materials managed by HSA Bank will be updated by February 2027.
A message will be posted in members’ online accounts from Aug 21. to Sept. 30, 2026. The message will announce the ownership change and explain that there’s no impact to their account and no action is needed.
We may notify members again in the future, if and when there are changes impacting customers. You’ll get advance notice of any such change or communication.
No. There will be no changes to your imprest account at Webster Bank, a division of Santander Bank, N.A.
You’ll continue working with the same HSA Bank colleagues who understand your needs and your relationship.

Day-to-day impact for members
Yes. HSA Bank members can continue using their debit card, online account, app and checks exactly as they do today.
No. Accounts and account numbers will remain the same.
FDIC coverage continues without interruption. Deposits held as of Aug. 20, 2026, at Webster (including BrioDirect and HSAs at HSA Bank), and deposits held at Santander (including Openbank), are insured separately for six months, or in case of certificates of deposit (CDs), the earliest maturity date after the six-month period. After the applicable grace periods, all deposits you hold at the combined bank will be aggregated for FDIC insurance purposes and subject to standard coverage limits.
